ニューヨーク提携オフィス

 

当事務所は、グローバル経済の中心地である米国において、これまでに培ってきた豊富なネットワークを駆使し、現地法律事務所等と連携しながらクライアントの皆様に効率的・効果的なサービスを提供してきました。対象プラクティスは、クロスボーダーＭ＆Ａ、ファイナンス、株式上場、ファンド組成、規制当局対応から、知的財産権、訴訟・仲裁等の紛争処理、現地進出支援等の幅広い分野にわたります。そして2020年には、北米／中南米地域における新たな拠点として米国ニューヨーク提携オフィス（正式名称：Atsumi & Sakai New York LLP）を設立しました。ニューヨーク提携オフィスは東京オフィス等の他の拠点と連携し、アウトバウンド・インバウンド双方の観点、また日本法・米国法双方の観点から、国内外の依頼者の皆様により一層充実したリーガルサービスの提供を目指します。

 

実績（一部）   米国の地域ガス供給会社の買収に係るプロジェクトにおいて、日本の大手ガス会社を代理し、ファイナンス、監督官庁との調整、税務的優遇措置の検討などについて助言を提供。 日本の公正取引委員会及び外国の独占禁止法取締当局によるカルテル調査において、日系/外資系自動車部品製造会社複数社を代理。リニエンシー及びマーカー申請、証人聞き取りへの参加、各国の独占禁止法取締当局からの情報要請に応じた文書作成等を担当。 米国における集団訴訟並びに日本及び外国管轄の顧客との損害賠償交渉案件において助言提供。 米国の大手FX会社の、日本における複数件の同業他社買収・合併・会社分割による事業承継及び事業提携等に関する助言を提供（取引ストラクチャリング、相手方との交渉、金融庁・関東財務局対応を含む）。 米国のプライベート・エクイティ投資会社の主たる法律顧問として、日本のスキーリゾート及び関連ビジネスのTKストラクチャーによる買収に関して助言提供。 米国の事業再生ファンドによる企業買収に際し、日本法カウンセルとして、デューデリジェンスの実施、デューデリジェンス・レポートの作成、その他の助言提供。
